Should the Reference Materials for the General Meeting of Shareholders, the Business Report, the Consolidated Financial Statements, or the Financial Statements require revisions by the day before the General Meeting of Shareholders, the revised versions will be posted on the Company’s website (http://www.heiwado.jp/). – 2 – Reference Documents for the General Meeting of Shareholders Proposals and References Proposal 1: Disposition of Surplus The Company aims to fulfill shareholders’ expectations even in the current severe business environment surrounding the Company, while paying attention to securing internal reserves to strengthen corporate structure. As a result, the Company proposes year-end dividends as follows: (1) Type of dividend property: Cash (2) Items related to the allocation of dividend property and its total amount: The Company proposes to increase its year-end dividend by 4 yen to 23 yen per share of its common stock (a total of 42 yen including the interim dividend of 19 yen per share). Accordingly, the total amount distributed will be 1,206,320,422 yen. (3) Date the distribution of surplus comes into effect: May 20, 2022 – 3 – Proposal 2: Partial Amendments to the Articles of Incorporation 1. Reasons for the amendment (1) With the intent of improving convenience for its shareholders, the Company proposes to establish new provisions regarding the additional purchasing system of shares less than one unit, and also to make necessary amendments in line with this change. (2) The amended provisions stipulated in the proviso to Article 1 of the Supplementary Provisions of the Act Partially Amending the Companies Act (Act No. 70 of 2019) will come into effect on September 1, 2022. Accordingly, in preparation for the introduction of the system for electronic provision of materials for General Meetings of Shareholders, the Articles of Incorporation of the Company shall be amended as follows: (i) The proposed Article 16, Paragraph 1 provides that information contained in the Reference Materials for the General Meeting of Shareholders, etc., shall be provided electronically. (ii) The purpose of the proposed Article 16, Paragraph 2 is to establish a provision to limit the scope of matters to be included in the paper copy to be sent to shareholders who have requested it. (iii) The provisions related to the internet disclosure and deemed provision of the Reference Materials for the General Meeting of Shareholders, etc. (Article 15 of the current Articles of Incorporation) will become unnecessary and therefore will be deleted. The Company has entered into the directors and officers liability insurance (D&O insurance) agreement as stipulated in Article 430-3, Paragraph 1 of the Companies Act, with all Directors designated as the insured. The insurance premiums for the insureds are entirely borne by the Company. If each candidate is appointed to the position of Director who is a member of the Audit and Supervisory Committee, each candidate will be included as the insured under the D&O insurance agreement. The Company proposes that the specific amounts, the timing and method of payment, and other factors be determined by the Board of Directors. The details of said condolence money are based on the Company’s internal rules concerning congratulatory and condolence allowances for Directors, and therefore are determined to be reasonable.
