The details are as follows. 1. Election of board director candidates The terms of office of six incumbent board directors (of whom two are outside directors) will expire at the conclusion of the 25th Annual General Meeting of Shareholders. Accordingly, dip proposes the election of six board directors (of whom three are outside directors), which include an additional outside director in an effort to further enhance corporate governance. As a result, outside directors will comprise half of all board directors, and female directors a third. This proposal is based on a recommendation by the Nomination and Compensation Committee, in which independent outside directors constitute the majority of the members. She also has extensive knowledge in issues such as promoting the advancement of women in the workplace. dip has elected Ms. Kanae Takeuchi as a candidate for outside board director since it believes she can provide valuable advice on social issues that dip strives to address. 2. Election of corporate auditor candidate Mr. Takashi Ejiri is expected to retire as corporate auditor at the conclusion of the 25th Annual General Meeting of Shareholders due to the expiry of his term of office. Accordingly, dip proposes the election of one new corporate auditor. The consent of the Audit & Supervisory Board has been obtained for this proposal.
