Co., Ltd. (hereafter “the Company”) resolved at our board meeting held on April 13, 2022 to establish the Special Committee to serve as a voluntary advisory body to the Board of Directors. The following is the outline. 1. Objective of establishing the Committee It aims to further the system of corporate governance through adequate monitoring/supervision over risks of conflict of interest involving the controlling shareholder thereby protecting the interests of minority shareholders in the dealings between the Company and the controlling shareholder. 2. Role of the Committee In response to consultation from the Board of Directors concerning cases of significant dealings/actions with the controlling shareholder or its subsidiaries, the Committee makes recommendations to the Board of Directors based on its deliberation from a viewpoint of protecting minority shareholders’ interests. 3. Composition of the Committee Pursuant to the resolution of the Board of Directors, it consists of all independent outside directors and independent outside auditors, and all members, including the chairperson appointed from among the independent outside directors, shall be committee members independent of the controlling shareholder. 4.
