The dividend for the fiscal year under review will be ¥23 per share, and the total amount of dividends will be ¥403,110,328, as originally planned. In addition, the effective date of the dividend will be April 14, 2022. Proposal 2: Partial Amendments to the Articles of Incorporation 1. Reasons for the amendments (1) Regarding Article 2 (Purpose) of the current Articles of Incorporation, the Articles of Incorporation of the Company shall be amended as follows. These supplementary provisions shall be deleted after six months from the Effective Date or after three months from the date of the general meeting of shareholders set forth in the preceding paragraph, whichever is later. – 6 – Proposal 3: Election of One (1) Audit & Supervisory Board Member Audit & Supervisory Board Member Noboru Hiramatsu will resign at the conclusion of the Meeting. Accordingly, the Company proposes the election of one (1) Audit & Supervisory Board Member. As Mr. Masaya Inoue will be elected as a substitute for Mr. Noboru Hiramatsu, his term of office will last until the expiry of the term of office of the retiring Audit & Supervisory Board Member, pursuant to the provisions of the Company’s Articles of Incorporation.
